Vendor Agreement

1. Purpose of the Agreement

• GaliKart operates a hyperlocal digital marketplace that enables customers to discover nearby shops and place orders.
• This Agreement governs the listing, sale, and delivery of products by the Vendor through the GaliKart platform.
• GaliKart acts solely as a technology facilitator and does not own, manufacture, stock, or sell products listed by Vendors.

2. Vendor Eligibility & Onboarding

2.1 General Requirements

The Vendor must:

• Be legally permitted to operate business in India
• Provide accurate and complete business details
• Maintain valid registrations, licenses, and permits

2.2 Medical Vendors (Pharmacies)

Medical vendors must provide:

• Valid Retail Drug License
• Registered Pharmacist details
• Compliance with Drugs & Cosmetics Act, 1940

2.3 Tobacco / Paan Vendors

Vendors selling tobacco, cigarettes, hookah, or nicotine products must:

• Comply with COTPA Act, 2003
• Ensure 18+ only sales
• Avoid sale near prohibited zones (schools, etc.)

3. Scope of Services

The Vendor agrees that:

• Products listed on GaliKart are sold directly by the Vendor
• GaliKart only provides:
  • Order discovery
  • Payment facilitation
  • Delivery coordination
  • Technology support
• Ownership and liability of products remain with the Vendor at all times

4. Product Listing & Pricing

• Vendor must list only legal, genuine, and compliant products
• Prices must:
  • Not exceed MRP (where applicable)
  • Be transparent and inclusive of taxes
• Vendor is responsible for:
  • Product descriptions
  • Stock availability
  • Product images

GaliKart may remove listings that violate laws or platform policies.

5. Restricted & Regulated Products

5.1 Medicines

• Prescription medicines may be sold only against valid prescriptions
• Vendor must verify prescription authenticity
• Sale to minors is strictly prohibited

5.2 Tobacco & Nicotine Products

• Sale permitted only to users aged 18+
• Vendor must cooperate in age verification
• No advertising targeting minors

6. Orders, Fulfilment & Delivery

Vendor must:

• Accept or reject orders promptly
• Prepare correct items in proper packaging
• Hand over orders to delivery partners securely

Vendor is responsible for:

• Wrong items
• Damaged products before handover
• Expired or counterfeit goods

7. Refunds, Returns & Cancellations

• Vendor agrees to comply with GaliKart's Refund Policy
• Prescription medicines and tobacco products are non-returnable
• Vendor bears refund liability for:
  • Wrong delivery
  • Quality issues
  • Legal non-compliance

8. Compliance with Laws

Vendor agrees to comply with all applicable laws including but not limited to:

• Consumer Protection Act, 2019
• IT Act, 2000
• DPDP Act, 2023
• Drugs & Cosmetics Act, 1940
• COTPA Act, 2003
• GST laws and local regulations

9. Data Protection & Confidentiality

• Vendor shall access customer data only for order fulfilment
• Sharing or misuse of customer data is prohibited
• Prescription data must be handled confidentially
• Vendor must follow DPDP Act obligations

10. Prohibited Conduct

Vendor shall not:

• Sell counterfeit or illegal goods
• Sell restricted items to minors
• Overcharge customers
• Misuse customer or prescription data
• Bypass GaliKart systems for direct transactions

11. Platform Fees & Payments

• GaliKart may charge:
  • Commission
  • Technology fees
  • Delivery coordination fees
• Payments are settled as per agreed cycle
• Taxes are Vendor's responsibility unless otherwise agreed

12. Termination & Suspension

GaliKart may suspend or terminate the Vendor if:

• Laws are violated
• Fake documents are submitted
• Repeated customer complaints occur
• Public safety is at risk

Vendor may terminate by providing written notice.

13. Indemnity

Vendor agrees to indemnify and hold harmless GaliKart against:

• Legal claims
• Regulatory penalties
• Consumer disputes
• Product liability issues

arising due to Vendor's acts or omissions.

14. Limitation of Liability

GaliKart shall not be liable for:

• Product quality
• Medical outcomes
• Vendor pricing disputes
• Vendor legal violations

15. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India. Courts at Kanpur shall have exclusive jurisdiction.

16. Amendments

GaliKart may update this Agreement from time to time. Continued use of the platform constitutes acceptance of revised terms.
